Section 1: Statement of Purpose

A. The Board of Directors shall be the governing body of the Association.

Section 2: Composition

A. The Board of Directors shall be comprised of the Association’s elected officers and the nominated chairpersons of the Association’s Standing Committees.

    1. The officers of the Association shall consist of the President, President-Elect,Secretary, Treasurer, Past-President and Director At-Large.

    a. Officers shall be elected by the membership of the Association and shall serve for two-year terms.

    2. Standing Committees shall be established or dissolved by a majority vote of the Board of Directors.

    a. Standing Committees shall be established to support the ongoing operations of the Association and/or shall support a specific professional interest within the recreation and park profession.

    b. Standing Committee chairpersons shall be elected by a majority vote of committee members in attendance at their December meeting.

    3. Ad-Hoc Committees may be established by the direction of the Association President.

    a. Ad-Hoc Committees shall serve for a limited time reflecting a single-issue purpose.

    b. Ad-Hoc Committees shall have no vote upon the Board of Directors of the Association, but shall advise and/or recommend action to the President or Board of Directors depending upon its nature of service.

Section 3: Meetings

A. The Board of Directors shall meet a minimum of four times per year to conduct the business of the Association, including the general membership meeting in January.

B. Additional meetings can be called at the discretion of the Association President.

C. A quorum shall consist of 50% +1 of the Association Board of Directors.

1. If there is an action item that requires a vote of the Association Board of Directors, a majority approval vote of the quorum must be obtained.

2. If there is an action item that the Board of Directors determines requires an Association vote, the vote will be conducted by a written ballot and must obtain a 2/3 approval vote of those eligible voting members submitting a vote on the action item.

D. Robert’s Rules of Order, the most current edition available, shall govern conduct of all Association meetings and all procedures not governed in these by-laws.

Section 4: Duties of Officers

A. President – shall preside at meetings of the Association, shall determine need for Standing Committees and appoint Standing Committee chairs (BY 7/1) and attend MRPA board meetings.

B. President-Elect – shall perform the duties of the Association President in his/her absence, approve professional development topics and handle logistics for Association meetings.

C. Secretary – shall keep records of minutes of Association meetings, determine the eligibility of membership applicants, ratify the roll of membership, send out Association meeting notices, record all official actions of the Association and maintain custody of the Association books and records.

D. Treasurer – shall be responsible to collect Association membership dues, handle the financial transactions of the Association and maintain financial information.

E. Past President – shall chair the Nominating Committee and Constitution Committee.

F. Board Member At-Large – shall serve on the Nominating Committee and Constitution Committee.

Section 5: Elections

A. Terms of Office

(1) The President-Elect and Treasurer of the Association shall be elected every two
years (even numbered years) and the Board Member At-Large and Secretary of
the Association shall be elected every two years (odd numbered years).

B. Prospective Association officers must give their consent before their names can be placed in nomination.

C. The Nominating Committee will present nominations for the officers of the Association in November. The Nominating Committee will consist of the Past President (chair), the Secretary and Board Member At-Large.

D. Elections, administered by the Association’s Secretary, shall occur by written ballot during December, with successful candidates assuming office in February.
